Terms and Conditions

1. This Agreement:

1.1 Purpose:

This Agreement is a legal document which sets out your rights and obligations, and those of Premcrest Ltd ("Premcrest Ltd", "we", or "us") in relation to the Services offered by Premcrest Ltd through this site.

1.2 Place of performance and applicable law:

i) Premcrest Ltd is registered in England and every item purchased from Premcrest Ltd shall be deemed to have been purchased in the United Kingdom.

ii) English law shall govern the purchase of all items, and the conduct of users of the site. You and we each submit to the non-exclusive jurisdiction of the English courts in relation to disputes arising out of improper usage of Premcrest Ltd.

1.3 Effect of this Agreement:

There is no registration fee, and usage of Premcrest Ltd is free to visitors. However, by using Premcrest Ltd you agree to the terms of this Agreement and you re-affirm that Agreement every time you use Premcrest Ltd.

1.4 Entire Agreement:

This Agreement, together with our Privacy Policy, and the Terms & Conditions referred to in clauses 1,2 & 3, form the Entire Agreement.

1.5 Change to this Agreement:

Premcrest Ltd reserves the right to change this Agreement from time to time, and will post the new version on www.premcrest.co.uk. When we do so, we will notify you of this fact on the main screen. The new version will take effect and will govern all activity on or through the Premcrest Ltd site and your relationship with us, commencing 14 days after the date of such posting (or such later date as Premcrest Ltd indicates in the posting). If you do not wish to be governed by the new version of the Agreement, you may notify us within the above 14 day period, and from the date when the new version takes effect.

2. Terms which apply to all Customers:

2.1 Registration, Pricing & Payment:

You undertake to register with Premcrest Ltd using your correct name, address and any other requested details. In order to pay for your order you will be asked to confirm the payment method; account customer, cheque, or to enter details of your credit/debit card (please note credit card payments incur additional card processing payments). You must ensure that;

i) You are fully entitled to use that card at the time when you enter its details on the Premcrest Ltd site, and when you seek to use it, and,

ii) It has available funds sufficient to cover all charges incurred on it in the course of your activities on the Premcrest Ltd site. If any of the information entered becomes incorrect or is superseded, then you must notify Premcrest Ltd with the correct information.

iii) Whilst we endeavour to give prior notice of price increases, they can at times change at short notice and Premcrest Ltd reserves the right to pass on to the buyer any price increase imposed by its supplier between the date an order is received and the goods are delivered.

2.2 Privacy Policy:

The Privacy Policy forms part of this Agreement, and by agreeing to those terms & conditions, you also give your consent to the way we may handle your personal data in that policy. Premcrest Ltd will not use this data for any other purpose or disclose it to any other person unless you have given your consent to us doing so, either during registration or at some other time. We may also disclose this data if we are either compelled to do so by law, or in response to a valid, legally compliant request by a law enforcement or government authority.

2.3 Misuse of Premcrest Ltd web site:

Premcrest Ltd reserves the right to not accept an order from a customer which is, or appears to be, in breach of any of the provisions in this Agreement.

2.4 Tax:

The price of goods displayed on this site are not inclusive of Tax. VAT will be added to your order during the checkout stage.

3. Liability & general:

3.1 Premcrest Ltd intellectual property:

You acknowledge that all copyright, trade marks and other intellectual property rights in and relating to the Premcrest Ltd site are owned by Premcrest Ltd. You must not use any of those intellectual property rights, or the Premcrest Ltd site, except to the extent to enter into transactions in the manner anticipated in this Agreement.

3.2 Consequential loss:

We will not be liable to you or any third party for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise), even if that loss or damage was foreseeable by, or the possibility of it was brought to the attention of Premcrest Ltd.

3.3 Maximum liability:

Without limiting the preceding paragraph, the liability of Premcrest Ltd under this Agreement (whether arising in negligence or otherwise) will not under any circumstances exceed the greater of (a) £250 or (b) an amount equal to the sums paid or payable by or to you in the transaction(s) to which such liability relates, regardless of the cause or form of action.

3.4 Negligence:

Nothing in this Agreement limits Premcrest Ltd's liability for death or personal injury from Premcrest Ltd's negligence, or any other liability, which may not by law be excluded.

3.5 Indemnity:

You agree to indemnify Premcrest Ltd against all liabilities, claims or expenses that may arise from any breach of this Agreement by you or through your Premcrest Ltd account.

3.6 Assignment:

Premcrest Ltd reserves the right to assign or subcontract any or all of its rights and obligations under this Agreement. If we exercise this right we shall name the assignee or subcontractor on the main screen and you will be entitled to terminate this Agreement immediately. You may not, without the written consent of Premcrest Ltd, assign or dispose of this Agreement.

3.7 Reasonable control:

Premcrest Ltd shall not be liable for any failure to perform its obligations under this Agreement caused by matters beyond its reasonable control.

3.8 Language:

In the event of conflict or inconsistency between the terms of the English version of this Agreement and any translation provided by Premcrest Ltd, the English version shall prevail.

3.9 Severability:

In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of the Agreement shall remain valid and enforceable.
